18. Copyright Complaints (DMCA)

19. Dispute Resolution; Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

Informal Resolution. Before initiating arbitration, the parties agree to first attempt to resolve any dispute informally by contacting us at info@petgreens.com and allowing 60 days to resolve the matter.
Agreement to Arbitrate. Except as provided below, any dispute arising out of or relating to this Agreement or the Website will be resolved by final and binding arbitration administered by JAMS under its applicable rules (including its Consumer Arbitration Minimum Standards, where applicable), before a single neutral arbitrator, seated in San Diego, California. This Agreement and this arbitration provision are governed by the Federal Arbitration Act.
Class Action Waiver. The parties may bring claims only in their individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding.
Public Injunctive Relief. Notwithstanding the above, to the extent applicable law provides a non-waivable right to seek public injunctive relief, that claim may be brought in a court of competent jurisdiction, and any such claim will be severed and stayed pending arbitration of all other claims.
Exceptions. Either party may (i) bring an individual claim in small claims court, or (ii) seek injunctive or equitable relief in court to protect its intellectual property rights.
Opt-Out. You may opt out of this arbitration agreement by sending written notice to info@petgreens.com within 30 days of first accepting this Agreement. If you opt out, neither party is bound by subsections (b)–(c).
Delegation. The arbitrator has exclusive authority to resolve disputes about the interpretation, scope, or enforceability of this arbitration agreement, except that a court decides the enforceability of the Class Action Waiver in subsection (c).

20. Governing Law and Forum

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws provisions. For any dispute not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in San Diego County, California.

21. Assignment

We may assign or delegate this Agreement, in whole or in part, at any time. You may not assign or transfer this Agreement without our prior written consent.

22. Termination

We reserve the right, in our sole discretion, to suspend or terminate your access to the Website at any time, with or without notice, for any reason. Provisions that by their nature should survive termination (including Sections 6, 11, and 15–20) will survive.

23. General

This Agreement, together with the Privacy Policy, is the entire agreement between you and us regarding the Website and supersedes any prior agreements. Our failure to enforce any provision is not a waiver of that provision. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary, and the remainder will remain in full force and effect. We are not liable for any failure or delay in performance caused by events beyond our reasonable control (force majeure).
